UgoWork MODEX 2026 Promotional Offer — Terms & Conditions

UgoWork is offering eligible participating companies who pre-register through the designated promotional landing page and visit the UgoWork booth C11983 at MODEX 2026 (April 13–16, 2026, Georgia World Congress Center, Atlanta, GA) the opportunity to become eligible for the following promotional incentives, subject to the conditions set out in these Terms & Conditions, including the placement of a qualifying purchase order of ten (10) or more UgoWork lithium-ion batteries within the timeframe specified below ("Offer"):​

• One (1) complimentary lithium-ion battery ("Complimentary Battery Offer");
• One (1) year subscription to UgoPilot Pro, UgoWork's fleet management and battery intelligence platform, at no additional charge, subject to UgoPilot's applicable platform terms of service; and
• Potential early access to UgoWork's AI-powered fleet intelligence functionality (“Ugo AI”), subject to availability and separate platform terms of use.

Participation in the Offer does not guarantee receipt of any promotional incentive unless all eligibility requirements and conditions described in these Terms & Conditions are satisfied.

By submitting the promotional pre-registration form or otherwise participating in this Offer, participating companies agree to be bound by these Terms & Conditions. UgoWork reserves the right, in its sole discretion, to verify participant eligibility and to disqualify any participant that it determines has attempted to manipulate, abuse, or improperly obtain the benefits of this Offer, including through automated registrations, false information, or multiple registrations on behalf of the same organization.

This Offer is available exclusively to commercial or industrial companies and business entities that meet all of the following criteria:

• The participant must represent a commercial or industrial company or business entity operating material handling equipment in the United States or Canada. Participation is permitted only on behalf of such an entity and not in an individual or personal capacity.
• The participating company must complete the pre-registration form on the designated UgoWork promotional landing page prior to or during MODEX 2026 (no later than April 16, 2026, at 5:00 PM ET)
• The participant must physically visit the UgoWork booth at MODEX 2026 and have their attendance confirmed by a UgoWork representative
• The participant must be an authorized representative of the participating company with decision-making or purchasing authority, or be acting on behalf of such an individual
• The participating company must not be a current UgoWork customer at the time of pre-registration (for purposes of this Offer, "current customer" means any entity with an active UgoWork battery lease, purchase agreement, or Energy as a Service contract as of March 1, 2026)​

Companies represented by employees, officers, directors, or agents of UgoWork and its parent companies, subsidiaries, affiliates, dealers, or distributors are not eligible to participate in this Offer. Competitors of UgoWork and any entity acting on behalf of a competitor are also excluded from eligibility.

• The Complimentary Battery Offer applies to one (1) standard UgoWork lithium-ion battery per qualifying company with the model, voltage, and configuration to be determined by UgoWork based on the participating company's fleet specifications and equipment compatibility;
• The Offer is valid only on a new purchase order of ten (10) or more UgoWork lithium-ion batteries, placed within one hundred twenty (120) days of the conclusion of MODEX 2026 (i.e., by August 15, 2026);
• The complimentary battery will be of equal or lesser value to the lowest-priced battery in the qualifying order;
• The Offer is limited to one (1) complimentary battery per participating company, regardless of the number of individuals from the same organization who pre-register or visit the booth;
• The Offer may not be combined with any other UgoWork promotion, discount, rebate program, or negotiated pricing agreement unless expressly authorized in writing by UgoWork;
• The Offer has no cash value and is not transferable, assignable, or redeemable for cash or credit;
• The complimentary battery provided under this Offer may not be converted into a price reduction, discount, credit, or rebate on any purchase order;
• All purchase orders are subject to UgoWork's standard terms and conditions of sale, credit approval, and product availability;
• UgoWork reserves the right, at its sole discretion, to determine the final specifications of the complimentary battery, including model, voltage, and configuration, based on the participating company's fleet requirements and equipment compatibility;
• Unless otherwise agreed in writing by UgoWork, the participating company is responsible for all applicable taxes, duties, import charges, shipping, and installation costs associated with the delivery and use of the complimentary battery.
  

• The complimentary one (1) year UgoPilot Pro subscription begins on the date of battery delivery and activation of the first battery of the qualifying purchase order, not the date of order placement or MODEX attendance;
• The complimentary one (1) year UgoPilot Pro subscription applies to the batteries included in the qualifying purchase order, with a maximum of 10 complimentary licences;
• After the complimentary period, the subscription will not auto-renew. Continued access to UgoPilot Pro will require a separate subscription agreement at UgoWork's then-current pricing;
• The UgoPilot subscription is subject to UgoPilot's standard terms of service and acceptable use policy;
• The complimentary UgoPilot Pro subscription is provided solely for the participating company's internal business use and may not be resold, sublicensed, or otherwise transferred;
• UgoWork may modify UgoPilot features, functionality, or availability from time to time without prior notice.
  

• Early access to Ugo AI is provided on an "as available" and "as is" basis and does not constitute a commitment by UgoWork to deliver any specific product, feature set, functionality, or release timeline;
• UgoWork may modify, suspend, or discontinue Ugo AI early access at any time, with or without notice, and without liability to the participating company;
• Participation in the early access program does not guarantee continued access to Ugo AI or any future commercial product, feature, or service derived from Ugo AI;
• Early access to Ugo AI may be subject to additional technical, operational, or geographic limitations determined by UgoWork at its sole discretion.

• Pre-registered and confirmed booth visitors will receive priority consideration for scheduling for a Proof of Concept (POC), subject to UgoWork's available capacity and geographic coverage;
• Priority consideration does not guarantee that a Proof of Concept will be scheduled, nor does it guarantee any specific date or timeframe;All POCs are subject to UgoWork's standard evaluation criteria and mutual agreement between UgoWork and the participating company;
• UgoWork reserves the right at its sole discretion to approve, decline, postpone, or modify any POC request.

• By completing the pre-registration form, participants consent to UgoWork collecting and processing the personal information provided (name, email, company, job title, fleet size, and area of interest) for the purposes of: (a) administering this Offer, (b) confirming attendance at MODEX 2026, (c) communicating about UgoWork products and services, and (d) internal analytics and sales follow-up
• Participants may unsubscribe from marketing communications at any time by following the unsubscribe link in any email or by contacting UgoWork directly
• UgoWork will not sell or rent participant personal information to third parties; however, UgoWork may share such information with its service providers and partners who assist in administering the Offer, operating its platforms, or providing related services, subject to appropriate confidentiality obligations.
• Personal information will be processed in accordance with applicable privacy laws, including but not limited to Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable U.S. state privacy laws
• Participants acknowledge that personal information may be transferred to and processed in jurisdictions outside their place of residence, including Canada and the United States, where privacy laws may differ from those of the participant's jurisdiction.

• This Offer is provided “as is” and “as available”. UgoWork makes no warranties, express or implied, regarding the Offer, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.
• In no event shall UgoWork, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to participation in this Offer or the use of any promotional incentive provided under it, even if advised of the possibility of such damages
• To the fullest extent permitted by applicable law, UgoWork's total aggregate liability arising out of or in connection with this Offer shall not exceed the retail value of one (1) standard lithium-ion battery as listed on UgoWork's published price schedule at the time of the qualifying purchase order
• Participating companies assume all risks associated with participation in this Offer and the use of any promotional incentives provided under it, except where such limitation is not permitted under applicable law.

• UgoWork reserves the right, at its sole discretion, to modify, suspend, or terminate this Offer at any time, for any reason, subject to applicable law and the terms of this Section;
• The Offer is available only during the Eligibility Period specified in these Terms & Conditions. UgoWork reserves the right to shorten, extend, or otherwise modify the Eligibility Period at its sole discretion;
• In the event the Offer is terminated prior to the end of the Eligibility Period, UgoWork will honor the Offer for any eligible participating company who completed pre-registration and whose booth visit was confirmed by a UgoWork representative prior to the effective date of such termination, provided that all other conditions of the Offer are satisfied; Any material modifications to the Offer will be posted on the promotional landing page or otherwise communicated by UgoWork. Continued participation in the Offer following such modifications constitutes acceptance of the modified Terms & Conditions.

• This Offer and these Terms & Conditions shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of laws provisions​;
• Any dispute arising out of or in connection with this Offer or these Terms and Conditions shall be resolved exclusively by the competent courts of the judicial district of Quebec City, Quebec, Canada;
• By participating in this Offer, participating companies irrevocably submit to the jurisdiction of such courts and waive any objection based on venue or forum non conveniens.

• This Offer is void where prohibited or restricted by applicable law;

• If any provision of these Terms & Conditions is held to be invalid or unenforceable, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect

• UgoWork's failure to enforce any provision of these Terms & Conditions shall not constitute a waiver of that provision or of any other provision of these Terms and Conditions.

• These Terms & Conditions constitute the entire agreement between UgoWork and the participating company with respect to this Offer and supersede all prior or contemporaneous communications representations, or agreements relating to the Offer.

 UgoWork is not responsible for any technical failures, errors, interruptions, or omissions related to the pre-registration form, website availability, email delivery, or other systems used in connection with the Offer.
